(New York, NY) Represent PE sponsors, portfolio co’s, asset
mgrs. & other corp. borrowers in dom. & cross-border leveraged acq.
financings & fund finance transact., incl. syndicated & privately
placed senior secured & subord. credit facilities, first & second lien
facilities, asset-based lending facilities, subscription lines of credit.
Provide strategic lgl advice to clients in structuring & executing acq. financings,
recapitalizations & fund-level leverage transact., incl. analysis of
covenant pkgs., collateral struct., intercreditor arrangements, evolving mkt.
terms. Negotiate, draft & review principal transact. docs. Coordinate due
dilig., disclosure schedules, closing deliverables, funds flow mechanics.
Liaise w/ opposing counsel, local counsel, adm. agents, lenders & client
deal teams to drive transact. to timely closing. Advise clients on post-closing
matters. $260,000 per year. Req’mts: JD or foreign equiv., NY Bar, 2 yrs of
